1. Definitions
(a) Consultant
The term "Consultant" refers to Nico A. Heller, a political advisor and coach providing consulting, coaching, workshops, seminars, and other services as outlined in these Terms and Conditions.

The term "Client" refers to the individual or entity engaging the Consultant’s services, whether by placing an order, registering for events, or through other means.

(c) Event
The term "Event" covers all activities offered by the Consultant beyond consulting or coaching sessions, including workshops, seminars, and similar formats that involve multiple participants and occur at designated times and locations.

2. General Terms and Scope
(a) The Consultant provides consulting, coaching, workshops, seminars, and other services in accordance with these Terms and Conditions. By engaging the Consultant, the Client accepts these terms. Any deviations from these terms must be agreed upon in writing. The Consultant does not accept any terms different from these unless expressly agreed to in writing.
3. Contract Formation
(a) A contract is established when the Client places an order and the Consultant accepts it. Orders and acceptances may be made via email, in writing, or verbally.
(b) Political consulting and coaching are not therapeutic services. Clients are responsible for their own well-being before, during, and after consultations or coaching. By placing an order, the Client affirms their mental and physical fitness to participate in the services and acknowledges having read and understood these Terms and Conditions.
4. Appointment Scheduling and Registration
(a) Appointments for consultancy or coaching sessions are mutually arranged between the Consultant and the Client. These sessions typically occur at the Consultant's premises, though exceptions can be made by mutual agreement. Clients may choose between in-person meetings, phone calls, or Zoom sessions.
(b) Appointments can generally be scheduled on any weekday and can be arranged by phone, email, or through the contact form on the Consultant's website (nicoheller.de).
(c) The Consultant determines the time and place of events, which must be accepted by the Client. Registration for events must be done in writing, via email, or through the designated booking form.
5. Offers, Fees, and Payment Terms
(a) The Consultant’s offers are non-binding and subject to change.
(b) Fees for services are based on those published on the Consultant’s website and/or specified in event announcements.
(c) Fees for additional services such as reports, lectures, and half-day or full-day rates for seminars, workshops, and other assignments outside the regular scope of consulting or coaching are available upon request. These fees are negotiated separately and are not included in standard consulting and coaching fees.
(d) All fees are quoted in EURO and are subject to applicable VAT (value-added tax), unless otherwise agreed.
(e) Invoices are generally due immediately, unless otherwise agreed. In the event of late payment, the Consultant may suspend further delivery of the services under the contract until the outstanding amount is paid in full.
(f) Event registrations are processed in the order they are received. Fees for workshops, seminars, and other events must be paid at least four weeks before the event date. The Client will receive a registration confirmation and an invoice to facilitate timely payment.
6. Cancellation by the Client
(a) Cancellations or rescheduling of consultancy or coaching appointments are free of charge up to 2 business days before the appointment. For cancellations or rescheduling made after this period or in the event of a no-show, the full fee for the scheduled time will be charged.
(b) Cancellation of a booked event is possible up to four weeks before the event start date, subject to a processing fee of 100 Euros plus VAT. For cancellations made less than four weeks before the event, 50% of the event fee will be charged as cancellation costs. In the case of a no-show, the full event fee will be charged.
7. Cancellation by the Consultant
(a) The Consultant reserves the right to terminate the engagement at any time or to cancel consultancy or coaching sessions for significant reasons, such as illness or force majeure. Only the services rendered up to that point will be billed. The Consultant is not liable for any additional claims, including for damages.
(b) If an event cannot proceed due to insufficient participants or other reasons, the Consultant will notify the Client as soon as possible and refund any fees already paid. No further claims will be entertained.
8. Data Protection
(a) The Client consents to the storage and processing of their personal data as part of the contractual relationship.
(b) All personal data will be handled confidentially.
9. Liability
(a) The Consultant commits to providing consulting, coaching, workshops, seminars, and other services with the utmost care and professionalism. However, there is no guarantee of success or specific outcomes from these services. The Consultant accepts no liability for the results of the services provided.
(b) By scheduling appointments or registering for events, the Client agrees to indemnify the Consultant against all claims. The Client acknowledges full responsibility for their own health and any damages they may cause.
(c) To the extent permitted by law, the Consultant is not liable for damages resulting from minor negligence, except in cases of injury to life, body, or health.
(d) Claims arising from the consultancy, coaching, or events must be made within one year of the Client becoming aware of the claim and the opposing party. The statutory limitation periods remain unaffected.
10. Confidentiality
(a) The Consultant agrees to keep confidential all professional, business, and personal information of the Client disclosed during the engagement, even after the termination of the contract.
11. Place of Performance and Governing Law
(a) Unless otherwise specified, the place of performance and payment is the Consultant’s place of business.
(b) This contract is governed by the laws of the Federal Republic of Germany.
12. Amendments to the Terms and Conditions
(a) The Consultant reserves the right to amend or supplement these Terms and Conditions at any time. Any changes will be communicated to the Client in writing or via email.
(b) Amendments or supplements will be deemed accepted if the Client does not object within two weeks of receiving notice. The Consultant will notify the Client of this period and the consequences of not objecting.
13. Severability Clause
(a) If any provision of these Terms and Conditions is or becomes invalid, the validity of the remaining provisions will not be affected.
(b) In place of any invalid provision, a valid provision that closely matches the original intent and purpose of the contract shall apply, reflecting what the parties would have agreed upon had they known of the invalidity.
